EduFocal Delays Key Vote Results as Share Dilution Concerns Grow

EduFocal shareholders voted on two major proposals at the company’s September 10 AGM, but the results may not be released for up to 30 days.

One proposal would rename EduFocal to Walstron Limited and expand the business beyond education technology into areas such as commerce, technology and real estate.

The second would allow directors to issue additional shares. The concern is that the proposal does not specify how many shares could be issued, at what price, or who could receive them.

That matters because issuing more shares can dilute existing investors, meaning they could own a smaller percentage of the company.

The vote comes as EduFocal continues its turnaround. Revenue fell 53% to $14.1 million in the March quarter, although the company returned to a small profit.
